1. Absolute Acceptance
By accessing, integrating with, or utilizing the VantaGate API or web interface, you establish a legally binding agreement to these Terms. If you do not agree to the complete limitation of our liability outlined herein, you are strictly prohibited from using the service.
2. Service "As Is" Description
VantaGate provides an asynchronous human-in-the-loop decision infrastructure. The Service is provided strictly on an "AS IS" and "AS AVAILABLE" basis without warranties of any kind, whether express or implied. We do not guarantee uninterrupted execution, immediate notification delivery, or absolute cryptographic immunity against state-sponsored or advanced cyberattacks.
3. Usage Limits, Caps, & Availability
All subscription plans are subject to strict monthly request caps. Exceeding these limits triggers an automated 402 Payment Required protocol. VantaGate bears absolutely no liability for dropped webhooks, missed decisions, or business losses resulting from reaching your rate limits or plan quotas.
4. Strict Acceptable Use Policy
You are solely and entirely legally responsible for the data you transmit. You expressly agree not to transmit illegal content, highly regulated health data (HIPAA), or attempt malicious circumvention of our API. VantaGate reserves the right to terminate accounts instantly, without notice or refund, for any suspected abuse, DDoS attempts, or violations of these strict usage boundaries.
5. Absolute Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE EU AND INTERNATIONAL LAW, VANTAGATE, ITS DIRECTORS, AND AFFILIATES SHALL UNDER NO CIRCUMSTANCES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS INTERRUPTION, OR REPUTATIONAL HARM. THIS ABSOLUTE EXCLUSION OF LIABILITY APPLIES REGARDLESS OF THE LEGAL THEORY, WHETHER IN CONTRACT, TORT, OR STRICT LIABILITY, ARISING FROM (I) HACKING ATTACKS, DATA BREACHES, OR UNAUTHORIZED ACCESS TO YOUR PAYLOADS; (II) SYSTEM OUTAGES, API FAILURES, OR LOSS OF WEBHOOKS; OR (III) FAILURES OF THIRD-PARTY INFRASTRUCTURE. IN JURISDICTIONS WHERE ABSOLUTE EXCLUSION IS PROHIBITED, VANTAGATE'S TOTAL CUMULATIVE LIABILITY SHALL BE STRICTLY CAPPED AT THE TOTAL AMOUNT ACTUALLY PAID BY YOU IN THE ONE (1) MONTH PRECEDING THE CLAIM, OR €49.00 EUR, WHICHEVER IS GREATER.
6. Disclaimer of Service Level Agreements (SLA)
While we strive for high availability, VantaGate explicitly disclaims any formal Service Level Agreements (SLA) or uptime guarantees across all tiers, including Free, Pro, and Scale. We are not legally or financially responsible for downtime caused by server crashes, network routing failures, third-party provider outages (e.g., Hetzner, AWS), or Force Majeure events. You deploy our API in your production systems entirely at your own operational risk.
7. Governing Law & Exclusive Jurisdiction
These Terms, and any non-contractual obligations arising out of them, are governed exclusively by the laws of the Republic of Poland, explicitly excluding the UN Convention on Contracts for the International Sale of Goods. Any legal disputes, claims, or controversies shall be subject to the exclusive jurisdiction of the competent commercial courts located in Warsaw, Poland.
